1. Acceptance
By downloading, installing, or using DropRecs (the "Service"), you agree to these Terms. If you don't agree, don't use the Service.
2. Eligibility
- You must be a licensed healthcare clinician (physician, nurse practitioner, physician assistant, or equivalent) or a credentialed staff member operating under such a clinician's direction.
- You must be at least 18 years old.
- You must have been issued a DropRecs access code during the current closed beta.
3. Acceptable use
You agree to:
- Obtain verbal consent from the patient before recording or sharing recs with them.
- Dictate clinical recommendations only. Do not dictate patient names, dates, phone numbers, addresses, or other identifying information. The Service attempts to detect such identifiers and warn you, but detection is not guaranteed to be complete.
- Review every rec before sharing it with a patient.
- Not use the Service to process recordings of people who have not consented to the recording.
- Not attempt to reverse-engineer, decompile, or bypass the security features (including the access-code gate or biometric lock).
- Not share your access code with anyone except authorized staff within your practice.

5. Patient communications
You deliver recs to patients yourself (AirDrop, QR code, copy link, or your own Messages app), or you can ask DropRecs to text the patient a link from the DropRecs toll-free number. Use the DropRecs text only when the patient has asked for, or agreed to, a text. Enter only the patient's own mobile number. Tell the patient that message and data rates may apply and that they can reply STOP to opt out. DropRecs sends one message per request and never sends marketing. You remain responsible for ensuring that how you deliver each rec complies with your practice's privacy and communication policies.
6. Text message terms (for patients)
DropRecs visit texts. If you ask your doctor to text you your visit recommendations, DropRecs (DropCharge LLC) sends one message from (844) 605-1640 with a link to them. Message frequency: one message per request. Message and data rates may apply. Reply STOP to opt out, or HELP for help. 7. Closed-beta status
DropRecs is currently distributed as a closed beta. During beta:
- The Service is provided free of charge.
- Features, pricing, and availability may change without notice.
- We may revoke access codes at any time to maintain service quality.
- Uptime and response times are best-effort and not guaranteed.
8. Intellectual property
DropCharge LLC owns all rights to the DropRecs™ app, branding, and underlying software. You own the content you create (recordings, transcripts, saved templates).
9. Third-party services
DropRecs uses third-party processors to deliver core functionality: iOS's on-device speech recognizer (no audio is transmitted), a HIPAA-eligible US cloud AI provider for the rewrite step (operating under DropCharge LLC's signed Business Associate Agreement), a static site host for marketing pages, and the Apple App Store for distribution. Their terms and privacy policies apply to your interactions with those services. A current list of named subprocessors is available on request to privacy@droprecs.app.
10. Termination
You may stop using the Service at any time by uninstalling the app. We may suspend or terminate your access to the Service at our discretion, including by revoking the access code, for violations of these Terms or to protect the Service.
11. Warranty disclaimer
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.
12. Limitation of liability
TO THE FULLEST EXTENT PERMITTED BY LAW, DROPCHARGE LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATING TO YOUR USE OF THE SERVICE. OUR TOTAL LIABILITY TO YOU FOR ANY CLAIM ARISING OUT OF OR RELATING TO THE SERVICE SHALL NOT EXCEED ONE HUNDRED U.S. DOLLARS ($100 USD).
13. Indemnification
You agree to indemnify and hold DropCharge LLC harmless from any claims arising out of your use of the Service in violation of these Terms, including any claim by a patient or other third party relating to the content you share through the Service.
14. Governing law
These Terms are governed by the laws of the State of New York, without regard to conflict-of-law principles. Any dispute shall be brought in the state or federal courts located in New York, New York.
15. Changes to these Terms
We may update these Terms as the product evolves. Material changes will be announced inside the app; the "Last updated" date above will also be bumped. Continued use after a change constitutes acceptance.
